These Terms of Service ("Terms") govern your use of the products and services offered by Builder Vantage ("we," "us," or "our"), including JobBox, Foresight, and any related websites, applications, or tools (collectively, the "Services"). By creating an account or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Services, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. If you do not agree to these Terms, do not use the Services.

Builder Vantage provides software tools designed for construction teams, including:

Our Services use artificial intelligence to process data, extract information, and provide recommendations. While we strive for accuracy, AI-generated outputs should be reviewed by you before taking action.

3. Accounts

You must create an account to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Free Trial

We may offer a free trial period for certain Services. At the end of the trial period, you will be automatically subscribed to the plan you selected during signup. You may cancel or change your plan at any time before the trial ends to avoid being charged. If you do not cancel before the trial period expires, you authorize us to charge your payment method on file.

5. Pricing and Payment

Paid plans are billed monthly. All fees are stated in U.S. dollars and are non-refundable unless otherwise required by law. We reserve the right to change our pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

If your usage exceeds your plan's included transaction limit, overage charges will apply at the rate specified for your plan. Overages are billed at the end of each billing cycle.

6. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until then. We do not provide prorated refunds for unused portions of a billing period.

7. Your Data

You retain all ownership rights to the data you submit through the Services ("Your Data"). By using the Services, you grant us a limited license to access, process, and transmit Your Data solely for the purpose of providing the Services to you. We will not sell Your Data to third parties.

You are responsible for the accuracy and legality of Your Data. We are not liable for any errors, losses, or damages resulting from inaccurate or incomplete data you provide.

The Services integrate with third-party platforms, including JobTread and QuickBooks. We are not responsible for the availability, accuracy, or functionality of third-party services. Your use of third-party platforms is subject to their respective terms and conditions.

All rights, title, and interest in the Services — including software, design, trademarks, and content — are owned by Builder Vantage. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described here.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

AI-generated outputs, including data extraction and project readiness assessments, are provided as recommendations only. You are responsible for verifying all information before acting on it.

12. Limitation of Liability

To the maximum extent permitted by law, Builder Vantage shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or revenue, whether direct or indirect, arising from your use of the Services. Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Builder Vantage, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the changes.

15. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Utah.
